Ownership and Governance

Ocean Gardens Village is owned and managed by Ocean Gardens (Inc), a not for profit organisation. Ocean Gardens (Inc) is an association incorporated in Western Australia under the Associations IncorporationsAct 1987.

Ownership and management of Ocean Gardens Village is the sole activity of Ocean Gardens (Inc).

It operates under a Constitution which sets out a number of matters including its Objectives and Powers, and that the Board is the governing authority of Ocean Gardens (Inc).

The Board is responsible for governance and strategy, and the overall high-level management of theVillage. The day-to-day management of the Village is the responsibilityof the Executive Manager.

The Board comprises six members:

  1. three councillors of the Town of Cambridge Council appointed by the Town of Cambridge; and
  2. three members appointed by the Board.

The Chairman and Vice Chairman of the Board are elected by the Board from the members appointed by the Town of Cambridge.

The Ocean Gardens (Inc) Act 2004 gave the Town of Cambridge ultimate oversight of the village. The Town has two principal powers in relationto Ocean Gardens:

  1. it can appoint three of its councillors to the Board; and
  2. it can veto changes to the constitution of Ocean Gardens (Inc).

The Town is not entitled to charge any fees to Ocean Gardens (other than municipal charges, such as rates), nor is it entitled to share in any surpluses or receive any capital of Ocean Gardens (Inc).
